Paramount Skydance ( PSKY ) is facing some pushback from a collection of US attorneys general in its proposed acquisition of rival Warner Bros. Discovery ( WBD ).
Evan Shapiro — better known as "The Media Cartographer" — comes on Market Domination Overtime to outline what is it at stake for the media giant and the Ellison family if the deal ultimately falls through.
It was Netflix and Paramount who was vying for this deal. Paramount ended up being the winner here. So what happens to Paramount if they don't end up being able to close this deal and could we see Netflix swoop back in?
Well, there are a couple of different things at play here. First of all, they have to go through this process. So unless Paramount backs out, this deal will continue to be in limbo until the trial starts and then ultimately ends. But what's crucial about this is that 40 billion dollars. A lot of what's happening in this deal is actually tied up with the AI hype bubble that you were just discussing with regards to SpaceX and Nvidia.
Um, Larry Ellison's personal fortune is tied up in Oracle stock. Oracle stock dropped 3% today. It's down 60% since they started bidding. He is personally backing $40 billion dollars of this $111 billion dollar deal.
Oracle is just one step above junk. If the S&P decides to if if they get rated, if Oracle's debt gets rated as junk, then Ellison's personal stock gets locked up. He can no longer use that to raise money or borrow money to put into this deal. So, Paramount not only runs out of runway on this deal if this doesn't go through, but the Ellison's uh combined are going to be in some financial hot water and this begins to become a major issue for them.
Could Netflix swoop in? Could someone else swoop in? Absolutely. If Paramount walks away, which I actually think is increasingly likely as time goes on, especially with this ticking fee, and then a $7 billion dollar breakup fee on top of that. Netflix could swoop in, but then then again, so could anyone else.
Apple now has a new CEO. They want to be in the media business. They have deep, deep pockets. They're nearly their their 52 week high stock valuation, so they could swoop in. Um, you've got NBC that's going to get spun out from Comcast. You can see perhaps a combination of those two entities. There's a lot at play here.
